Saen Yim Co. Ltd. compiles and maintains three classifications of listings of potential investment opportunities:

“A” List:  Businesses that have been evaluated by Saen Yim;
“B” List:   Businesses that have been casually observed by Saen Yim;
“C” List:   Businesses that have been neither observed nor evaluated, but simply listed on our web-site for informational purposes.

If you choose Saen Yim Co. Ltd.  to assist you, we will provide the following services:

Pre-Purchase Phase

• Casual and formal observations of current operations;
• Feasibility study; Business Plan; Marketing Plan;
• Legal due diligence, investigating the present owners and their status  vis-à-vis the government’s business licensing authorities;
• Verification of relevant land titles and current property lease agreements;
• Financial due diligence, including a review of the business’s annual audits, bookkeeping records, as well as informal records provided by the current owner;

Purchase/Investment Phase

• Review of purchase/investment agreement prior to signature;
• Hosting of agreement signing in the presence of our lawyers;
• Processing of business transfer documents at the Thai government agencies;

Post-Purchase Phase

• Assistance with recruitment of Thai nationals for your business, at both the management and staff levels;
• Review of internal management and financial policies and procedures to insure effective control by you, the new owner/investor;
• Assistance with marketing and advertising plans;
• Start-up administrative support, including secretarial, communications, translations;
• Visa and work permit formalities for you and your spouse/family;
• Monthly accounting, bookkeeping, tax preparation, legal advice on a retainer contract;
• Assistance with practical management/operational questions or problems when they arise.

Our Professional Fee Structure:

If you wish to buy, or otherwise invest in, a new or current business:

• The first meeting with one of our consultants is free of charge. During this meeting, we will review your investment plan and other relevant details;
• A non-refundable deposit of THB 50,000 will be requested if you wish us to provide a proposed Plan of Action;
• We will meet with our business and legal advisors and recommend a plan of action, to include a schedule of activities to be accomplished;
• A retainer of THB 50,000 will then be requested to begin the agreed schedule of activities (a retainer agreement will be signed at this time);

Should you decide to make the investment, total fees charged will be whichever of the following is greater:

  a) The total of professional fees charged on an hourly basis; or
  b) Three percent (3%) of the total, agreed purchase price of the business.
 

• Post-purchase, if you choose to retain our firm for on-going accounting and tax preparation activities, a separate contract will be offered to you for such services. Currently, our retainer fees for such packages begin at THB 10,000 per month, inclusive of legal advisory services.

If you want to sell your business, or identify new partners or investors to join you in your present business:

We charge nothing to list your new or current business on our “C” List (see above description of business listings). Conditions do apply—contact us for details.

If you wish to appear on our web-site’s “B” List (businesses that have been observed), there will be a flat fee of THB 6,000.

If you wish to have your business/investment opportunity evaluated for listing on our “A” List, our fees will be in the range of THB 45,000-150,000, depending on the amount of time required to accomplish the review.

All professional fees in this section exclude 7% VAT; government fees; and transportation outside of metropolitan Bangkok, charged at cost.
